Terms of Service
Effective date: March 1, 2026. These terms of service ("Terms") govern your access to and use of FleetWarden and related services provided by R2F Systems, Inc. ("R2F Systems," "we," "us," or "our"). By accessing or using FleetWarden, you agree to be bound by these Terms.
1. Service Description
FleetWarden is a fleet security operations platform that provides real-time GPS tracking, geofence monitoring, on-device AI intrusion detection, multi-channel alert routing, evidence capture, incident reporting, and related tools for commercial fleet operators. The service includes cloud-hosted software, edge device firmware, a web dashboard, and a mobile application.
2. Eligibility and Account Registration
FleetWarden is intended for use by commercial fleet operators, their employees, and authorized agents. You must be at least 18 years old and have the authority to bind your organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to provide accurate and complete information during registration and to keep your account information current. You must notify us promptly if you become aware of any unauthorized use of your account.
3. Customer Responsibilities
As a FleetWarden customer, you are responsible for:
Legal compliance. Ensuring that your use of FleetWarden complies with all applicable federal, state, and local laws and regulations, including those governing electronic surveillance, employee monitoring, GPS tracking, data protection, and privacy. You are responsible for obtaining any required consents from drivers, employees, or other individuals whose data may be collected through FleetWarden.
Proper installation. Ensuring that edge devices are installed correctly and safely on your vehicles according to provided guidelines. R2F Systems is not responsible for damage caused by improper installation.
Access management. Managing user accounts, roles, and permissions within your fleet organization. You are responsible for ensuring that only authorized personnel have access to FleetWarden features, incident data, and evidence media.
Acceptable use. Using FleetWarden only for its intended purpose of fleet security monitoring. You may not use the service for illegal surveillance, harassment, stalking, or any purpose that violates applicable law or the rights of others.
Notification to drivers. Informing your drivers and relevant personnel that vehicles are equipped with FleetWarden monitoring devices, including GPS tracking and camera-based intrusion detection, to the extent required by applicable law.
4. Subscription and Payment
FleetWarden is offered on a subscription basis. Pricing, billing frequency, and payment terms are as described in your service agreement or order form. Subscriptions renew automatically unless cancelled in writing before the renewal date.
Edge device hardware is sold separately and is non-refundable after installation. Hardware remains your property after purchase.
We reserve the right to change our pricing with at least 60 days advance written notice. Price changes do not apply to the current billing period.
If payment is not received within 30 days of the due date, we may suspend your access to FleetWarden until payment is received. We will provide at least 14 days written notice before suspending service for non-payment.
5. Service Availability
We strive to maintain high availability of the FleetWarden platform but do not guarantee uninterrupted service. FleetWarden depends on internet connectivity, cellular networks, GPS satellite signals, and third-party infrastructure, all of which are outside our control.
Edge devices are designed to queue events locally during connectivity interruptions and upload them when connectivity is restored. However, real-time alert delivery requires active network connectivity between the edge device and the FleetWarden platform.
We may perform scheduled maintenance that temporarily affects service availability. We will provide reasonable advance notice of planned maintenance when possible.
6. Data Ownership and Rights
Your data. You retain all rights to the data generated by your fleet operations through FleetWarden, including GPS telemetry, security events, evidence media, and incident reports ("Customer Data"). We do not claim ownership of Customer Data.
License to us. You grant R2F Systems a limited, non-exclusive license to process, store, and transmit Customer Data solely as necessary to provide FleetWarden services to you.
Aggregated data. We may use anonymized, aggregated data derived from service usage for purposes such as improving FleetWarden, generating industry benchmarks, or conducting research. Aggregated data does not identify you, your organization, or any individual.
Data export. You may export your Customer Data at any time through the FleetWarden dashboard. Upon termination, we will make your data available for export for 30 days, after which it will be permanently deleted.
7. Intellectual Property
R2F Systems retains all rights, title, and interest in the FleetWarden platform, including all software, algorithms, machine learning models, user interfaces, documentation, trademarks, and related intellectual property. These Terms do not transfer any intellectual property rights to you beyond the limited right to use FleetWarden during your active subscription.
You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of FleetWarden software or edge device firmware.
8. Limitation of Liability
No guarantee of theft prevention. FleetWarden is a monitoring, detection, and alerting tool. It does not physically prevent theft, guarantee the apprehension of criminals, or ensure the recovery of stolen cargo. FleetWarden supplements but does not replace physical security measures, insurance coverage, or law enforcement response.
Detection limitations. AI-based intrusion detection may produce false positives (alerts triggered by non-threats) or false negatives (threats not detected). Detection accuracy depends on environmental conditions, device placement, lighting, and other factors. We continuously work to improve detection accuracy but cannot guarantee perfect performance.
Alert delivery. Alert delivery times depend on network connectivity and third-party communication services. While our target is delivery within 5 seconds under normal conditions, we do not guarantee specific delivery times.
Liability cap. To the maximum extent permitted by law, R2F Systems' total liability to you for any claims arising from or related to these Terms or your use of FleetWarden shall not exceed the total fees you paid to R2F Systems in the 12 months preceding the claim.
Exclusion of damages. To the maximum extent permitted by law, R2F Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of cargo, loss of revenue, business interruption, or data loss, regardless of the theory of liability.
9. Disclaimers
FleetWarden is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that FleetWarden will meet all of your requirements, that it will be uninterrupted, timely, secure, or error-free, or that all defects will be corrected.
FleetWarden is not an insurance product and is not a substitute for appropriate cargo insurance coverage.
10. Law Enforcement Features
FleetWarden includes features that allow you to share live vehicle tracking information with law enforcement during active incidents. You are solely responsible for deciding when and with whom to share tracking links. R2F Systems does not contact law enforcement on your behalf and makes no representations about law enforcement response times, availability, or outcomes.
Shareable tracking links provide access to real-time vehicle location without requiring authentication. You are responsible for distributing these links only to intended recipients and for revoking access when no longer needed.
11. Indemnification
You agree to indemnify, defend, and hold harmless R2F Systems, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to: (a) your use of FleetWarden; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) your failure to obtain required consents for GPS tracking, video monitoring, or employee surveillance.
12. Termination
Either party may terminate the subscription by providing 30 days written notice to the other party. We may also suspend or terminate your access immediately if you violate these Terms or if required by law.
Upon termination: (a) your access to FleetWarden will be deactivated; (b) your Customer Data will be available for export for 30 days; (c) after the export period, your data will be permanently deleted; (d) you must uninstall and return or dispose of edge device hardware as applicable.
Sections 6 (Data Ownership), 7 (Intellectual Property), 8 (Limitation of Liability), 9 (Disclaimers), 11 (Indemnification), and 14 (Governing Law) survive termination.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or through the FleetWarden dashboard at least 30 days before the changes take effect. Continued use of FleetWarden after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may terminate your subscription before the changes take effect.
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or your use of FleetWarden shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
15. General Provisions
Entire agreement. These Terms, together with any applicable service agreement or order form, constitute the entire agreement between you and R2F Systems regarding FleetWarden and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
Waiver. Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
